End-User License Agreement (EULA) for the "Automations" Azure DevOps Extension

This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee", "you") and Documentero ("Documentero", "we", "us"), the provider of the "Automations" Azure DevOps Extension (the "Extension") and of the hosted services operated by Documentero to run it (together with the Extension, the "Service"). By installing, connecting, configuring, or using the Extension, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not install or use the Extension.

Definitions

1. "Account" means the Azure DevOps organization in which the Extension is installed.
2. "Organization Administrator" means a Project Collection Administrator of Licensee's Azure DevOps organization who is able to connect or disconnect the organization, select projects, and manage organization-level Extension settings.
3. "Authorized Users" means the individuals within Licensee's Azure DevOps organization who are permitted by Licensee (through Azure DevOps permissions and the Extension's access settings) to view, create, edit, enable, run, or delete Automations or view Execution Logs.
4. "Automation" means a workflow configured by Licensee within the Extension, consisting of a trigger (an Azure DevOps work item event or a schedule), optional conditions, and one or more actions (for example creating or updating work items, adding comments, copying fields, updating tags, running a shared query, or sending an email).
5. "Automation Identity" means the Workflow Automation service principal that Connect provisions as a user in Licensee's Azure DevOps organization and under whose identity and permissions all Automations are executed.
6. "Selected Projects" means the Azure DevOps projects chosen by an Organization Administrator during Connect or Manage projects and in which the Automation Identity is granted Project Administrators membership.
7. "Documentation" means user guides, help content, the Marketplace listing, the Support Policy, and other materials provided by Documentero relating to the Extension.
8. "Execution Logs" means the records of Automation runs (status, timestamps, step summaries, and error information) made available within the Extension.
9. "Preview" means the period during which the Extension is designated as "Preview" on the Azure DevOps Marketplace or in the Documentation.
10. "User Data" means data, configuration, and content that Licensee or its Authorized Users submit to, or make available to, the Service, including Automation definitions, email templates and recipient addresses, access settings, the organization contact email, and Azure DevOps content processed when Automations run.

1. License Grant, Preview Status and Commercial Terms

1. 1.1 License Grant. Subject to the terms of this Agreement, Documentero grants Licensee a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to install and use the Extension within Azure DevOps organizations where Licensee is authorized to install extensions, and to use the hosted Service solely to operate the Extension, for Licensee's internal business purposes.
2. 1.2 Preview Status. The Extension is currently provided as a Preview release. Preview software may contain errors, may not operate as intended, and may be changed, limited, suspended, or discontinued at any time. Features, limits, and behavior described in the Documentation may change during Preview. Licensee acknowledges that it uses the Extension during Preview at its own risk and should evaluate Automations in a non-production project where feasible before enabling them on production data.
3. 1.3 Free of Charge During Preview; No Trial. During Preview the Extension is provided free of charge. No trial period, paid plan, or subscription applies during Preview, and no fees are due. Nothing in this Agreement obliges Documentero to continue to provide the Extension, or any feature of it, free of charge after Preview ends.
4. 1.4 Future Commercial Terms. Documentero may, at the end of Preview or at a later time, introduce paid subscriptions, trial periods, plan tiers, or usage-based limits. Applicable commercial terms and their effective date will be published through the Marketplace listing, within the Extension, or in an updated Agreement before charges apply. Continued use of the Extension after the effective date of such changes constitutes acceptance; if Licensee does not agree, its sole remedy is to stop using the Extension in accordance with Section 11.
5. 1.5 Usage Limits. To protect the Service and Azure DevOps, Documentero applies usage limits (for example the number of Automations per organization, the number of executions per day, and the number of work items processed per run), as described in the Documentation. Events or runs exceeding a limit may be skipped. Documentero may adjust limits at any time, including on a per-organization basis.
6. 1.6 Relationship to Microsoft. The Extension is not a Microsoft product. Azure DevOps and Microsoft Entra ID are Microsoft services, and Licensee's use of them remains governed by Microsoft's terms. Nothing in this Agreement grants rights in any Microsoft intellectual property.
7. 1.7 Technical Eligibility. The Service requires Licensee's Azure DevOps organization to be connected to Microsoft Entra ID. Organizations that use Microsoft personal accounts only ("MSA-only organizations") are not supported. Licensee is responsible for ensuring that Connect is completed against the same Microsoft Entra directory connected to its Azure DevOps organization.

2. Automation Identity, Permissions and Licensee Responsibility

1. 2.1 Execution Identity. Automations are executed by the Service acting under the identity and permissions of the Automation Identity, and not under the identity of the person who created the Automation. Licensee authorizes the Service to use that identity to execute Automations configured by Licensee's Authorized Users and to create, maintain, and remove the Azure DevOps Service Hook subscriptions required for the Service.
2. 2.2 Connect and Project Scope. Connect requires an Organization Administrator to consent Documentero's multi-tenant Microsoft Entra application in Licensee's connected directory and select the projects in which Automations may run. The connection process adds the Automation Identity to Licensee's Azure DevOps organization with Stakeholder access (which may consume an Azure DevOps seat) and grants it Project Administrators membership on the Selected Projects. The Automation Identity is not made a Project Collection Administrator. Licensee is responsible for selecting appropriate projects and understanding the access granted in those projects.
3. 2.3 Attribution of Actions. Any action the Service performs in Licensee's Azure DevOps organization as a result of an Automation, including creating, updating, or commenting on work items, changing tags or fields, running queries, and sending emails, is deemed performed by and on behalf of Licensee. Anything the Automation Identity is permitted to do in a Selected Project may be caused by an Authorized User through an Automation. Documentero does not review, approve, or verify Automations before they run.
4. 2.4 Access Management. Licensee controls, through Azure DevOps permissions and the Extension's project settings, who may create, edit, enable, run, and view Automations and Execution Logs. By default, Project Administrators may manage and run Automations; project members may view Automations and Execution Logs unless Licensee restricts that access. Project Administrators may allow additional Azure DevOps groups to manage Automations. Licensee is responsible for configuring these settings appropriately and for all Automations created by its Authorized Users.
5. 2.5 Review, Testing and Recoverability. Automations modify Licensee's Azure DevOps data automatically and may affect many work items in a single run. Licensee is responsible for reviewing, testing, and monitoring its Automations (including triggers, conditions, scope, and target work items) before and after enabling them. The Service does not keep copies of Licensee's work items and cannot roll back changes made by Automations; Licensee should rely on Azure DevOps work item history and its own backup and contingency practices.
6. 2.6 Disconnection and Removal. An Organization Administrator may use Disconnect in the Extension's organization settings. Disconnect clears Documentero's connection state and removes Service Hooks created by Documentero; stored Automations remain but do not run until the organization is connected again. Disconnect does not remove the Automation Identity from Azure DevOps Users or remove the Enterprise application from Licensee's Microsoft Entra directory. Licensee is responsible for deleting the Azure DevOps user to release its seat and may also disable or remove the Enterprise application. A remaining Azure DevOps user may prevent a later Connect from completing.

3. Acceptable Use and Restrictions

1. 3.1 Permitted Use. The Extension may be used only to automate work item workflows within Licensee's own Azure DevOps organization, for Licensee's internal business purposes.
2. 3.2 Email Actions. Emails sent by the "Send customized email" action are sent from a Documentero address (notifications@documentero.com) on behalf of Licensee, to recipients and with content configured by Licensee. Licensee is solely responsible for the recipients, content, and lawfulness of such emails, including having a lawful basis to contact each recipient. The email action is intended for operational notifications related to Licensee's Azure DevOps work; it may not be used for marketing, bulk or unsolicited messaging, or to send unlawful, misleading, or infringing content. Documentero may rate-limit, filter, or suspend email sending to protect deliverability and prevent abuse.
3. 3.3 Restrictions. Licensee shall not (and shall not permit any third party to): (a) copy, modify, adapt, translate, or create derivative works of the Extension; (b) reverse engineer, decompile, or disassemble the Extension, except to the extent applicable law expressly permits; (c) sublicense, resell, rent, or lease the Extension, or use it to provide a competing service; (d) circumvent or interfere with authentication, authorization, usage limits, or other security or protective measures of the Service, including attempting to replay, forge, or redirect event or authorization requests, sharing credentials, or accessing another organization's data; (e) use the Service to attack, probe, scrape, or overload Azure DevOps, Documentero, or third-party infrastructure beyond normal automation use; or (f) configure Automations that infringe third-party rights, violate Licensee's own Azure DevOps policies or Microsoft's terms, or process data unlawfully.
4. 3.4 Legal Compliance. Licensee shall comply with all applicable laws and regulations, including data protection, anti-spam, and export control laws, in its use of the Extension.
5. 3.5 Suspension. Documentero may suspend or restrict the Service for an organization, without prior notice where reasonably necessary, if Documentero reasonably believes that the Extension is being used in breach of this Agreement, poses a security or operational risk to the Service, Azure DevOps, or third parties, or is the subject of a legal request. Documentero may notify Licensee via the contact email provided in the Extension where practicable.

4. Availability, Changes and Maintenance

1. 4.1 No Service Level Commitment During Preview. The Service is provided on an "as available" basis. No availability, uptime, or support service level commitment applies during Preview. The Service may be unavailable due to maintenance, upgrades, security patches, third-party outages (including Azure DevOps, Microsoft Entra ID, or Google Cloud), or unplanned interruptions.
2. 4.2 Event Processing Not Guaranteed. Documentero does not warrant that every Azure DevOps event will trigger an Automation or that Automations will execute at a specific time. Execution depends on Microsoft's Service Hook delivery, and the Service applies duplicate-event detection, loop protection, usage limits, and other safeguards that may intentionally skip, delay, or stop runs. Some skipped runs appear in Execution Logs (for example, the first quota skip for an organization or project during a UTC day). Others are skipped without a log entry so that Azure DevOps does not disable the Service Hook subscription.
3. 4.3 Changes and Discontinuation. Documentero may modify, add, or remove features of the Extension and may discontinue the Extension in whole or in part. Material changes or discontinuation may be communicated through the Marketplace listing, the Extension, or Licensee's contact email.
4. 4.4 Not Mission-Critical. The Extension is not designed or intended for mission-critical, life-safety, regulated, or real-time use.

5. Support and Contact

1. 5.1 Support Channels. Documentero provides customer support via email at support@documentero.com and via the Support Policy available at Support Policy.
2. 5.2 Support Basis. Support during Preview is provided on a reasonable-efforts basis. Response times vary and no support service level commitment applies.
3. 5.3 Scope of Support. Support may include general assistance with using the Extension, troubleshooting issues, and clarifying Documentation. Its scope and availability may change during Preview. Standard support does not include designing, building, or maintaining Licensee's Automations or bespoke development; any such services require a separate written agreement.
4. 5.4 Support Access to Data. For troubleshooting, abuse investigation, and security purposes, and only to the extent reasonably necessary, Documentero may access Licensee's Automation definitions, organization and project settings, Execution Logs, and diagnostic logs. Documentero does not access Licensee's Azure DevOps content other than through the Service as configured by Licensee, and handles such access in accordance with the Privacy Policy and applicable data protection laws.

6. Data Protection and Privacy

1. 6.1 Privacy Policy and Roles. Documentero processes personal data in accordance with the Privacy Policy and any Data Processing Addendum ("DPA") entered into between the parties. Licensee is the data controller for User Data and for Azure DevOps content processed by Automations; Documentero acts as a data processor when processing such data on Licensee's behalf. A DPA covering the Extension is available on request at support@documentero.com.
2. 6.2 Retention. Execution Logs are retained for approximately thirty (30) days. Automation definitions and settings are retained until deleted by Licensee or until removal following termination as described in the Privacy Policy.
3. 6.3 Processing Location and International Transfers. The Service is currently hosted in Google Cloud regions located in the European Union. Where personal data is transferred outside the European Economic Area, Documentero will implement appropriate safeguards (e.g., standard contractual clauses) as required by applicable data protection laws.

7. Intellectual Property

1. 7.1 Ownership. Documentero or its licensors retain all right, title, and interest in and to the Extension, the hosted Service, the Documentation, the built-in automation templates, and all related intellectual property rights. No ownership rights are transferred to Licensee by this Agreement. Built-in templates may be used only to configure Automations within the Extension.
2. 7.2 Licensee Content. Licensee retains all rights in its Automation configurations and its Azure DevOps content. Licensee grants Documentero a non-exclusive right to host, process, and transmit such content solely to the extent necessary to provide, secure, and support the Service.
3. 7.3 Feedback. If Licensee provides feedback, suggestions, or ideas about the Extension, Documentero may use such feedback without obligation or compensation, provided that Documentero will not intentionally disclose Licensee's confidential information.

8. Warranties and Disclaimers

1. 8.1 As-Is Preview Software. The Extension and the Service are provided "as is" and "as available" and, as Preview software, without warranty of any kind. To the maximum extent permitted by applicable law, Documentero disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranties arising from course of dealing or usage of trade.
2. 8.2 No Warranty of Results. Documentero does not warrant that the Extension will meet Licensee's requirements, that operation will be uninterrupted or error-free, that every Automation or event will be executed, or that Automations will produce any particular result in Licensee's Azure DevOps data.
3. 8.3 Security. Documentero implements reasonable technical and organizational security measures as described in the Security Statement, but does not warrant that the Service will be free from vulnerabilities or unauthorized access.

9. Limitation of Liability

1. 9.1 Exclusion of Damages. To the maximum extent permitted by applicable law, Documentero shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profit, loss of business, loss of data, loss of goodwill, loss of use, or costs of procuring substitute services, arising out of or relating to this Agreement or the Extension, even if advised of the possibility of such damages. Without limiting the foregoing, Documentero is not liable for changes made to Licensee's Azure DevOps data, or for emails sent, as a result of Automations configured by Licensee or its Authorized Users, or for actions performed through the Automation Identity.
2. 9.2 Liability Cap. Documentero's aggregate liability for all claims arising out of or relating to this Agreement shall not exceed the greater of (a) the total fees paid by Licensee to Documentero for the Extension during the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred euros (EUR 100). Licensee acknowledges that the Extension is provided free of charge during Preview and that this limitation reflects that fact.
3. 9.3 Exceptions. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law.
4. 9.4 Essential Purpose. The limitations and exclusions in this Section 9 apply even if the remedies provided by this Agreement are found to have failed of their essential purpose.

10. Indemnification

1. 10.1 Indemnity. Licensee agrees to indemnify, defend, and hold harmless Documentero and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Licensee's or its Authorized Users' use of the Extension in violation of this Agreement; (b) Automations configured by Licensee or its Authorized Users, including their effect on Licensee's Azure DevOps data and emails sent through the Extension; (c) Licensee's selection of projects, access settings, or failure to complete the removal steps described in Section 2.6; (d) User Data; or (e) Licensee's breach of applicable law or third-party rights.

11. Termination

1. 11.1 Term and Termination by Licensee. This Agreement remains effective until terminated. Licensee may terminate this Agreement at any time by disabling or deleting its Automations, disconnecting the organization, and uninstalling the Extension from its Azure DevOps organization. Licensee remains responsible for removing the Azure DevOps user and, if desired, the Enterprise application as described in Section 2.6.
2. 11.2 Termination by Documentero. In addition to suspension under Section 3.5, Documentero may terminate Licensee's access to the Extension if Licensee materially breaches this Agreement and fails to cure such breach within thirty (30) days of written notice, immediately where required by law, or upon discontinuation of the Extension in accordance with Section 4.3.
3. 11.3 Effect of Termination. Upon termination, Automations cease to execute and access to the Extension ends. User Data is handled and retained in accordance with the Privacy Policy, including its deletion practices and any retention permitted or required for legal, security, dispute-resolution, or backup purposes.

12. Miscellaneous

1. 12.1 Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control (for example: cloud provider outages, Internet failures, strikes, natural disasters, or government actions).
2. 12.2 Compliance and Third-Party Services. Licensee will comply with applicable laws (including export and import laws). The Service relies on third-party services, including Azure DevOps, Microsoft Entra ID, Google Cloud, and email delivery providers, which are subject to their own terms. Outages, policy changes, or API changes at such providers may affect the Service.
3. 12.3 Changes and Assignment. Documentero may update this Agreement from time to time. Updates take effect when posted or on any later date stated in the update, subject to applicable law. Documentero may assign this Agreement to an affiliate or successor in interest; Licensee may assign only with Documentero's prior written consent, except to a successor in interest of the business to which this Agreement relates.
4. 12.4 Standard Terms. If any provision is unenforceable, the remainder remains in effect. This Agreement benefits only the parties, and headings are for convenience only.

13. Governing Law and Entire Agreement

1. 13.1 Governing Law; Jurisdiction. This Agreement is governed by the laws of the European Union and the laws of the country where Documentero is established, without regard to conflict-of-law rules. Courts in that country have exclusive jurisdiction, subject to mandatory local law.
2. 13.2 Entire Agreement. This Agreement, together with any DPA and the Privacy Policy, is the entire agreement between the parties regarding the Extension and supersedes prior agreements on the same subject.
